Although most commercial undertakings adopt a Private Company Limited by shares structure we are able to incorporate Companies limited by guarantee, limited liability partnerships (LLPs), Community Interest Companies (CICs) and Incorporated Charitable Organisations (ICOs) where that is appropriate for the organisation's proposed activities.

Manage Your Company

Company Registrar and Secretarial Service

We provide a Registered Office address facility should you wish to base your business at our offices. Similarly, should you wish us to retain your Company's Statutory Registers at our address it may be used as the SAIL location. We would particularly welcome enquiries from foreign-owned subsidiaries and branches.

We can ensure that you meet your legal obligations and comply with the requirements of the Companies Acts through our practical Registrar and Secretarial Service package which takes care of statutory filings, your board meetings, appointment and retirement of Directors and company secretary, governance, annual returns, share transfers, dividend and distribution policies, procedures and guidance on any other company issue that may arise.

The Companies Act 2006 brought in many changes in Company Law and in particular made provision for a simpler and more compact model Memorandum and Articles of Association and which if adopted removes the Authorised Capital stipulation in the Table A (as amended by CA2006). We offer a review and re-write service for your Articles in order to take advantage of these new provisions.

Company Closure

If it is insolvent we would involve a recommended firm of Insolvency Practitioners. Provided it was solvent we could assist with the collection of sums due and the clearing of creditors, informing HMRC and other practical closure steps leading up to the filing of the Striking Off request with Companies House.
